1. Acceptance of these terms

These Terms of Use (the “Terms”) are an agreement between you and OR9 Tech LLC (“OR9,” “we,” or “us”) governing your access to and use of the website at or9.tech(the “Site”). By accessing or using the Site, you accept these Terms. If you do not agree, do not use the Site.

2. Eligibility

The Site is intended for users who are at least 13 years old and, if you are using it on behalf of an organization, who have authority to bind that organization to these Terms.

3. Purpose of the Site

The Site is a corporate informational website. Content on the Site is provided for general information about OR9 and its areas of focus. It may be updated, corrected, or removed at any time and should not be relied on as a commitment, specification, or promise of future products or functionality.

4. Permitted use

You may view, download, and print content from the Site for your own informational, non-commercial use, provided you keep all proprietary notices intact.

If you send us ideas, feedback, or other materials through the Site or by email, you grant OR9 a non-exclusive, royalty-free right to use them for evaluating and improving our products and business. Do not send us material you are not entitled to share.

8. No confidential relationship

Contacting OR9 does not create a confidential, fiduciary, or professional relationship. Do not send confidential or proprietary information through the contact form unless we have entered into a separate written agreement covering it.

9. Third-party websites

The Site may link to third-party websites. We do not control and are not responsible for their content or practices. Links do not imply endorsement.

10. Product-specific terms

Individual OR9 products may be operated by separate entities and under their own terms of service and privacy policies. Those documents — not these Terms — govern your use of the relevant product. Where a product has its own terms, they control in the event of a conflict with these Terms as to that product.

11. No professional advice

Nothing on the Site constitutes investment, securities, financial, legal, tax, or other professional advice, and nothing on the Site is an offer to sell or a solicitation of an offer to buy any security or other instrument.

12. Disclaimer of warranties

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OR9 AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold OR9 harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or misuse of the Site.

We may revise these Terms from time to time. The effective date above reflects the latest revision, and continued use of the Site after a revision takes effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.

19. Venue

Any dispute arising from these Terms or the Site that is not resolved informally shall be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to their jurisdiction.

20. Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be enforced to the maximum extent permitted.

21. Entire agreement

These Terms, together with the Privacy Policy and any documents they reference, are the entire agreement between you and OR9 regarding the Site and supersede any prior understandings on that subject.
